This Agreement is between you (the individual accepting these terms, and the business you represent) and Service Wrench, LLC (“Service Wrench,” “we,” “us,” or “our”). By creating an account, accessing the shop portal, connecting an integration, or otherwise using the Services, you agree to this Agreement and our Privacy Policy. If you are accepting on behalf of a company, you represent that you have authority to bind that company. If you do not agree, do not use the Services.
1. The Services
Service Wrench provides cloud-based shop-management software for automotive repair businesses, including tools for repair orders, estimates, inspections, scheduling, invoicing, parts, purchasing, reporting, team collaboration, and related features (the “Services”). We may add, modify, or discontinue features with reasonable notice when material to your use. Beta or preview features may be offered “as is” and may change or end without notice.
You run the shop; we provide the software. Service Wrench is not a party to your relationships with your customers, technicians, vendors, or payment processors for customer work. You remain solely responsible for the quality of repairs, customer communications, pricing, taxes, warranties you offer, and compliance with industry and consumer-protection laws applicable to your business.
2. Eligibility and accounts
- You must be at least 18 years old and able to form a binding contract.
- Provide accurate registration information and keep it current.
- Keep credentials confidential. You are responsible for activity under your accounts and for staff you invite.
- Notify us promptly of unauthorized access or security incidents involving your account.
- We may refuse, suspend, or terminate accounts that appear abusive, fraudulent, unpaid, infringing, or otherwise in breach of this Agreement.
3. Your shop data and content
“Customer Data” means data, content, and materials you or your authorized users submit to the Services, including customers, vehicles, jobs, invoices, attachments, and configuration. As between you and Service Wrench, you retain ownership of Customer Data. You grant Service Wrench a worldwide, non-exclusive license to host, copy, process, transmit, display, and otherwise use Customer Data solely to provide, secure, support, and improve the Services, and as otherwise described in the Privacy Policy or required by law.
You represent and warrant that:
- You have all rights and consents needed to submit Customer Data and to grant the license above;
- Customer Data does not infringe others’ rights or violate law; and
- You will not upload malware, unlawful content, or data you are not authorized to process (including sensitive data types we do not design the product to store unless expressly supported).
Upon written request after termination, and subject to our retention practices and legal obligations, we will make Customer Data available for export for a commercially reasonable period, then delete or de-identify it from production systems.
4. Subscriptions, fees, and taxes
Paid plans and pricing are described on our Pricing page and in your billing settings. Subscription fees for Service Wrench are processed by Stripe. By starting a paid plan you authorize recurring charges at the then-current rates for your selected plan and interval until canceled. Seat, location, and feature limits apply as disclosed for your plan; overages or upgrades may incur additional fees.
- Fees are generally non-refundable except where required by law or expressly stated by us in writing.
- You may change or cancel from Settings → Billing; cancellation takes effect at the end of the current paid period unless otherwise stated.
- We may change prices prospectively with notice before the next renewal term.
- You are responsible for applicable taxes, except taxes based on our net income.
- Failure to pay may result in suspension or termination of access.
5. Customer payments and third-party integrations
If you connect PayPal or another payment provider, you are linking your merchant account so your customers can pay you. Service Wrench does not take custody of those customer funds and is not a money transmitter for those transactions. The provider’s terms and privacy policies apply. You may only connect accounts you are authorized to use, and you can disconnect in Settings → Integrations.
Features that interoperate with QuickBooks, email/SMS providers, or other third parties depend on those providers’ availability and terms. We are not responsible for outages, data handling, or decisions made by third parties outside our control.
6. Acceptable use
You agree not to, and not to permit others to:
- Use the Services for unlawful, fraudulent, deceptive, or harmful purposes;
- Attempt to access another shop’s data, probe, scan, or breach security or authentication;
- Reverse engineer, decompile, or create derivative works of the Services except as permitted by law;
- Resell, sublicense, or provide the Services to third parties as a competing service without our written consent;
- Interfere with or impose an unreasonable load on our infrastructure;
- Upload content that is illegal, defamatory, or infringing; or
- Use the Services in a manner that violates export controls or sanctions laws.
7. Intellectual property
The Services, including software, interfaces, documentation, trademarks, and branding, are owned by Service Wrench and its licensors and are protected by intellectual property laws. Except for the limited right to use the Services under this Agreement, no rights are granted to you. Feedback you provide may be used by us without restriction or compensation.
8. Confidentiality
Each party may receive non-public information from the other that is marked confidential or should reasonably be understood as confidential (“Confidential Information”). The receiving party will use that information only to perform under this Agreement and will protect it with reasonable care. Confidential Information does not include information that is or becomes public through no fault of the receiving party, was independently developed, or was rightfully received from a third party without restriction. Disclosure required by law is permitted with notice where legally allowed.
9. Disclaimers
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, SERVICE WRENCH DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS, OR THAT CUSTOMER DATA WILL NEVER BE LOST. YOU ARE RESPONSIBLE FOR MAINTAINING APPROPRIATE BACKUPS OF CRITICAL BUSINESS RECORDS AND FOR YOUR OWN TAX, ACCOUNTING, AND REGULATORY COMPLIANCE.
10. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SERVICE WRENCH AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, WHETHER BASED IN CONTRACT, TORT, OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY. OUR AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THE SERVICES OR THIS AGREEMENT WILL NOT EXCEED THE AMOUNTS YOU PAID TO SERVICE WRENCH FOR THE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM (OR ONE HUNDRED U.S. DOLLARS IF YOU HAVE NOT PAID FEES). SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS; IN THOSE CASES OUR LIABILITY IS LIMITED TO THE FULLEST EXTENT PERMITTED BY LAW.
11. Indemnification
You will defend, indemnify, and hold harmless Service Wrench and its affiliates, officers, and employees from and against claims, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) Customer Data; (b) your use of the Services in violation of this Agreement or law; (c) your relationships with your customers, employees, or vendors; or (d) disputes regarding payments you collect through connected third-party processors.
12. Term and termination
This Agreement continues while you use the Services. You may stop using the Services and request account closure at any time. We may suspend or terminate access immediately for material breach, non-payment, legal risk, or prolonged inactivity, and we may discontinue the Services with reasonable notice when practicable. Sections that by their nature should survive (including ownership, fees owed, disclaimers, limitations, indemnity, and governing law) will survive termination.
13. Changes to this Agreement
We may update this Agreement from time to time. We will revise the effective date above and may provide additional notice for material changes. Continued use after the effective date of an update constitutes acceptance of the revised terms for subsequent use. If you do not agree, you must stop using the Services and cancel any subscription.
14. Governing law and disputes
This Agreement is governed by the laws of the State of New York, excluding conflict-of-law rules, except where mandatory local consumer law applies. Exclusive venue for disputes arising out of this Agreement will be the state or federal courts located in New York, and each party consents to personal jurisdiction there, except that Service Wrench may seek injunctive relief in any jurisdiction to protect its intellectual property or Confidential Information. YOU AND SERVICE WRENCH WAIVE ANY RIGHT TO A JURY TRIAL TO THE EXTENT PERMITTED BY LAW. Claims must be brought individually and not as a class or representative action, to the extent such waiver is enforceable.
15. Miscellaneous
- Entire agreement. This Agreement and the Privacy Policy are the entire agreement regarding the Services and supersede prior proposals on the same subject.
- Severability. If a provision is unenforceable, the remainder remains in effect.
- Assignment. You may not assign this Agreement without our consent; we may assign it in connection with a merger, acquisition, or sale of assets.
- Force majeure. Neither party is liable for delays caused by events beyond reasonable control.
- Notices. We may provide notices via the Services, email, or posting on the site. Formal notices to us may be sent through Contact.
- No waiver. Failure to enforce a provision is not a waiver of future enforcement.
- Export. You will comply with U.S. export control and sanctions laws applicable to your use of the Services.
